A little known law that governs sales transactions between businesses in the United States and in more than 75 other countries isn’t seemingly noticed by American businesses and their attorneys until after a dispute arises. This set of provisions- the United Nations Convention on Contracts for the International Sale of Goods (CISG) - displaces the Uniform Commercial Code (UCC) or other state laws that might otherwise apply. Consequently, it is in your best interests to understand what the law provides and how it differs from the UCC before it becomes relevant to a transaction you’re involved in. This webinar will focus on:

  • The scope of the CISG’s application
  • How parties can opt out of the CISG
  • Included and excluded transactions
  • Formation of contracts under the CISG
  • Performance standards – perfect tender vs. substantial performance
  • Warranties of quality
  • Risk of loss
  • Broad application of specific performance
  • Reduction of the price as a remedy
  • Damages
